2. Scope of Application

These General Terms and Conditions govern the sale of the following products and services:

  • Electronic devices for ECU diagnostics and programming operations
  • Software, scripts, and digital licenses
  • Related technical services

Placing an order implies full acceptance of these Terms and Conditions.

3. Customers and Professional Use

Products are intended exclusively for professional operators in the automotive sector. By placing an order, the customer declares that they:

  • Possess the necessary technical skills
  • Use the products in compliance with current regulations

4. Prices, VAT and Invoicing

All prices are shown excluding VAT unless otherwise indicated. VAT is applied in accordance with current legislation.

For the following customers:

  • Non-EU → VAT not applied
  • EU customers with a valid VAT ID (VIES) → VAT not applied

The customer is responsible for the accuracy of the billing and tax data provided.

5. Digital Products and Licenses

Digital products (software, scripts, licenses):

  • Are provided in electronic format
  • May require activation via hardware devices (e.g., xCore dongle)
  • Are subject to usage limitations, including duration, device and functionality

License activation constitutes use of the product. Licenses:

  • Are not transferable
  • Are non-refundable after activation
  • May be bound to specific hardware

6. Exclusion of the Right of Withdrawal

Pursuant to Art. 59 of the Consumer Code:

  • The right of withdrawal is excluded for digital content supplied on non-tangible media once performance has begun.
  • The right of withdrawal is excluded for software licenses that have been activated or used

The purchase implies express acceptance of the loss of the right of withdrawal for such products.

7. Physical Products and Returns

For hardware products, withdrawal is permitted within the limits provided by law; the product must be:

  • Intact
  • Unused
  • Complete and in its original packaging

Return shipping costs are the responsibility of the customer.

8. Shipping and Delivery

Shipments are made via express courier (e.g. DHL). Incoterm: DAP (Delivered At Place).

The customer is responsible for:

  • Customs duties
  • Local VAT
  • Import duties and charges

Any delays due to customs or the courier are not attributable to the seller.

9. Limitation of Liability

Tsec Engineering S.r.l. is not responsible for:

  • Direct or indirect damage resulting from the use of the products
  • Incorrect use or installation
  • Incompatibility with specific vehicles, ECUs or systems
  • Economic losses, lost profits or vehicle downtime

The use of the products is at the sole responsibility of the customer.

10. Compatibility and Technical Checks

It is the customer's responsibility to verify:

  • Product compatibility with the system/vehicle
  • Correct usage procedure
  • Presence of the necessary technical conditions

11. Technical Support

Support is provided via:

  • Support portal
  • Ticket system

Response times may vary based on the complexity of the request.

12. Payments and Disputes

Any complaints or disputes must be reported to technical support in advance.

Opening disputes through payment providers without prior contact with technical support may result in:

  • Suspension of services
  • Deactivation of licenses

13. Suspension or Revocation of Licences

Tsec Engineering S.r.l. reserves the right to suspend or revoke licenses in the event of:

  • Improper use
  • Violation of the terms
  • Attempted tampering

14. Applicable Law and Jurisdiction

These terms are governed by Italian law.

For any dispute, the court of the seller’s registered office shall have jurisdiction, unless otherwise provided by law.

15. Legal Use of Products

The products and services provided are intended exclusively for lawful use in compliance with current regulations. Use for the following purposes is prohibited:

  • Illegal or fraudulent activities
  • Unauthorized modification or manipulation of vehicles or electronic systems
  • Unauthorized access to systems or data

The customer is solely responsible for any use of the products.

Tsec Engineering S.r.l. disclaims all liability for improper or illegal use.

16. Measures in the Event of Non-Compliant Use

Tsec Engineering S.r.l. reserves the right to:

  • Suspend or revoke licenses
  • Block access to services
  • Suspend technical support

in the event of use not compliant with these terms.
