2. Scope of Application<\/h4>

These General Terms and Conditions govern the sale of the following products and services:<\/p>

  • Electronic devices for ECU diagnostics and programming operations<\/li>
  • Software, scripts, and digital licenses<\/li>
  • Related technical services<\/li><\/ul>

    Placing an order implies full acceptance of these Terms and Conditions.<\/p>

    3. Customers and Professional Use<\/h4>

    Products are intended exclusively for professional operators in the automotive sector. By placing an order, the customer declares that they: <\/p>

    • Possess the necessary technical skills<\/li>
    • Use the products in compliance with current regulations<\/li><\/ul>

      <\/p>

      4. Prices, VAT and Invoicing<\/h4>

      All prices are shown excluding VAT unless otherwise indicated. VAT is applied in accordance with current legislation.<\/p>

      For the following customers:<\/p>

      • Non-EU \u2192 VAT not applied<\/li>
      • EU customers with a valid VAT ID (VIES) \u2192 VAT not applied<\/li><\/ul>

        The customer is responsible for the accuracy of the billing and tax data provided.<\/p>

        <\/p>

        5. Digital Products and Licenses<\/h4>

        Digital products (software, scripts, licenses):<\/p>

        • Are provided in electronic format<\/li>
        • May require activation via hardware devices (e.g., xCore dongle)<\/li>
        • Are subject to usage limitations, including duration, device and functionality<\/li><\/ul>

          License activation constitutes use of the product. Licenses: <\/p>

          • Are not transferable<\/li>
          • Are non-refundable after activation<\/li>
          • May be bound to specific hardware<\/li><\/ul>

            <\/p>

            6. Exclusion of the Right of Withdrawal<\/h4>

            Pursuant to Art. 59 of the Consumer Code: <\/p>

            • The right of withdrawal is excluded for digital content supplied on non-tangible media once performance has begun.<\/li>
            • The right of withdrawal is excluded for software licenses that have been activated or used<\/li><\/ul>

              The purchase implies express acceptance of the loss of the right of withdrawal for such products.<\/p>

              <\/p>

              7. Physical Products and Returns<\/h4>

              For hardware products, withdrawal is permitted within the limits provided by law; the product must be:<\/p>

              • Intact<\/li>
              • Unused<\/li>
              • Complete and in its original packaging<\/li><\/ul>

                Return shipping costs are the responsibility of the customer.<\/p>

                8. Shipping and Delivery<\/h4>

                Shipments are made via express courier (e.g. DHL). Incoterm: DAP (Delivered At Place). <\/p>

                The customer is responsible for:<\/p>

                • Customs duties<\/li>
                • Local VAT<\/li>
                • Import duties and charges<\/li><\/ul>

                  Any delays due to customs or the courier are not attributable to the seller.<\/p>

                  <\/p>

                  9. Limitation of Liability<\/h4>

                  Tsec Engineering S.r.l. is not responsible for:<\/p>

                  • Direct or indirect damage resulting from the use of the products<\/li>
                  • Incorrect use or installation<\/li>
                  • Incompatibility with specific vehicles, ECUs or systems<\/li>
                  • Economic losses, lost profits or vehicle downtime<\/li><\/ul>

                    The use of the products is at the sole responsibility of the customer.<\/p>

                    <\/p>

                    10. Compatibility and Technical Checks<\/h4>

                    It is the customer's responsibility to verify:<\/p>

                    • Product compatibility with the system\/vehicle<\/li>
                    • Correct usage procedure<\/li>
                    • Presence of the necessary technical conditions<\/li><\/ul>

                      <\/p>

                      11. Technical Support<\/h4>

                      Support is provided via:<\/p>

                      • Support portal<\/li>
                      • Ticket system<\/li><\/ul>

                        Response times may vary based on the complexity of the request.<\/p>

                        <\/p>

                        12. Payments and Disputes<\/h4>

                        Any complaints or disputes must be reported to technical support in advance.<\/p>

                        Opening disputes through payment providers without prior contact with technical support may result in:<\/p>

                        • Suspension of services<\/li>
                        • Deactivation of licenses<\/li><\/ul>

                          <\/p>

                          13. Suspension or Revocation of Licences<\/h4>

                          Tsec Engineering S.r.l. reserves the right to suspend or revoke licenses in the event of:<\/p>

                          • Improper use<\/li>
                          • Violation of the terms<\/li>
                          • Attempted tampering<\/li><\/ul>

                            <\/p>

                            14. Applicable Law and Jurisdiction<\/h4>

                            These terms are governed by Italian law.<\/p>

                            For any dispute, the court of the seller\u2019s registered office shall have jurisdiction, unless otherwise provided by law.<\/p>

                            <\/p>

                            15. Legal Use of Products<\/h4>

                            The products and services provided are intended exclusively for lawful use in compliance with current regulations. Use for the following purposes is prohibited: <\/p>

                            • Illegal or fraudulent activities<\/li>
                            • Unauthorized modification or manipulation of vehicles or electronic systems<\/li>
                            • Unauthorized access to systems or data<\/li><\/ul>

                              The customer is solely responsible for any use of the products.<\/p>

                              Tsec Engineering S.r.l. disclaims all liability for improper or illegal use.<\/p>

                              <\/p>

                              16. Measures in the Event of Non-Compliant Use<\/h4>

                              Tsec Engineering S.r.l. reserves the right to:<\/p>

                              • Suspend or revoke licenses<\/li>
                              • Block access to services<\/li>
                              • Suspend technical support<\/li><\/ul>
